THE FOUNDATION FOR OUR WORK
Clear expectations.
From the very beginning.
Please read these terms before using our website or engaging our services.
01Who we are and these terms
These Terms of Use govern access to enemaoj.com and the website resources provided by Onojah John Consulting Ltd. (“we”, “us” or “our”), a company registered in Nigeria. They also set out the general basis on which we offer fractional CMO services, marketing consulting, coaching and training.
Business address: No. 1 Ikot Ndem Road, Uyo, Nigeria.
Email: john@enemaoj.com.
Telephone: +2348105580698.
Please read these terms before using the website or ordering a service. They apply to website use to the extent permitted by law and properly brought to your attention. A paid engagement requires a separate agreement as described below; browsing the website or submitting an enquiry does not create a payment obligation.
02Eligibility and authority
Our website and services are intended for people aged 18 or over who can enter into a binding agreement. If you act for a company or another organisation, you must be authorised to provide its information, request services and accept commitments on its behalf.
You are responsible for ensuring that the contact and business information you provide is accurate and that your use of the website and services is lawful. If you do not agree with these terms, please stop using the website and contact us about any existing engagement.
03Enquiries and service agreements
Contact forms, discovery calls and preliminary discussions help us understand your needs. They do not by themselves establish a consulting relationship, reserve capacity or require us to accept an engagement.
A paid engagement begins when both parties accept a written proposal, statement of work or other service agreement, including acceptance by email. That agreement records the scope, deliverables, fees, payment schedule, responsibilities and any agreed timing. A deposit is required only if expressly agreed.
For paid services, a specifically agreed service agreement takes priority over these general terms if there is a conflict. Mandatory legal rights take priority over both. Changes to scope, fees or material deadlines must be agreed in writing; neither party is required to accept additional work or charges that were not agreed.
04Service delivery and your responsibilities
We will provide agreed services with reasonable care and skill. Our role may include strategy, advice, training, project coordination or marketing leadership, depending on the engagement.
- Provide accurate briefs, relevant business information and timely feedback.
- Arrange authorised access to the systems and materials needed for the agreed work.
- Identify a person who can approve decisions and deliverables on your behalf.
- Review factual claims, offers, pricing and regulated statements about your business before publication.
- Obtain the rights, permissions and lawful authority needed for material or personal information you supply.
We will raise material dependencies and delays when they become apparent. If missing information, approvals or access affects delivery, we will discuss reasonable changes to the schedule. This does not automatically authorise additional fees.
You retain responsibility for your business decisions, budgets and implementation, except for work we have expressly agreed to perform. Delegating work to us does not authorise actions outside the agreed scope.
05Fees, payments and expenses
The applicable fee, currency, taxes, billing milestones and due dates are those accepted in the service agreement or order confirmation. General website pricing describes the advertised offer and does not replace the terms of a particular engagement. We will identify material charges before you commit.
You must pay undisputed amounts when due. Raise any invoice concern promptly at john@enemaoj.com, identifying the amount and reason for the dispute. We will work with you to resolve it, and amounts that are not disputed remain payable.
Advertising spend, software subscriptions, travel and other third-party expenses are included only when expressly stated. We will not incur additional chargeable expenses on your behalf without your approval. You remain responsible for charges under contracts you enter into directly with other suppliers.
We do not impose an automatic renewal, late-payment penalty or recurring charge through these website terms. Any such arrangement must be separately disclosed and agreed, and must comply with applicable law.
06Cancellations, rescheduling and refunds
To cancel or reschedule, contact us as soon as possible using the contact details on this page. Any cancellation or rescheduling terms clearly disclosed and agreed for your engagement will apply, subject to mandatory legal rights.
Where no specific cancellation terms have been agreed, you may end an ongoing engagement by written notice. You remain responsible for services already properly delivered and reasonable, unavoidable expenses that you approved before cancellation. We will account for advance payments and refund any balance attributable to services not delivered after those amounts are deducted. We will not charge twice for the same loss.
If we cancel a service and cannot offer a suitable alternative that you accept, we will refund advance payments for the undelivered portion. If a service is materially defective or does not meet the agreement, contact us with the details so we can investigate and provide the correction, repeat performance, price reduction or refund required by the circumstances and applicable law.
Any mandatory cancellation, refund or consumer remedy remains available. Nothing in these terms creates a blanket “no refunds” rule or removes rights that cannot lawfully be excluded.
07Advice, results and professional boundaries
Marketing outcomes depend on factors such as your offer, budget, competition, market conditions, implementation and the decisions of platforms and customers. We do not guarantee a particular revenue level, ranking, number of leads or return on investment unless a specific, lawful guarantee is expressly included in your service agreement.
Case studies, testimonials and historical results illustrate particular experiences. They are not promises that every client will achieve the same outcome. Forecasts and targets are estimates based on available information.
Website articles and free resources provide general business and educational information. They are not tailored legal, tax, accounting, investment or medical advice. Obtain appropriately qualified advice when your decisions require it. This section does not excuse misleading statements or reduce our duty to provide agreed services with reasonable care and skill.
08Intellectual property and deliverables
We or our licensors own the website’s original text, designs, graphics, training materials and other protected content. You may view the website and retain reasonable copies of publicly available resources for your own personal or internal business use, subject to any stated resource licence and applicable law.
You must not sell, republish, redistribute or commercially exploit our content, remove ownership notices or suggest our endorsement without permission. Rights such as lawful quotation and other statutory exceptions are unaffected.
You retain ownership of materials you provide and grant us permission to use them only as necessary to perform the agreed engagement. Ownership and licensing of commissioned deliverables are governed by the service agreement.
If the service agreement does not specify otherwise, after full payment you receive a perpetual, non-exclusive licence to use the final deliverables for the business purpose for which they were commissioned, including publication where that was the intended purpose. Our pre-existing methods, templates, know-how and reusable tools remain ours. Their inclusion in a deliverable does not transfer ownership, but you may use them as incorporated in that deliverable. Third-party materials remain subject to their applicable licences.
09Courses, coaching and digital resources
Where you purchase a course, coaching session or digital resource, the description and accepted order specify what is included, the format, any access period and any participation requirements. Access is for the named participant or licensed organisation unless broader use is expressly permitted.
Do not share paid access credentials, resell materials or record or distribute sessions without permission. Organisational licences may be used by the participants covered by that licence. We will obtain appropriate permission before using an identifiable participant’s contribution in promotional material.
Training supports learning and business development; it does not confer a professional qualification, accreditation or certification unless expressly stated. The cancellation and remedy provisions above apply alongside any properly disclosed course-specific terms and mandatory legal rights.
10Acceptable use and security
You must not use the website or services to:
- Break the law, infringe another person’s rights or submit material you have no authority to use.
- Impersonate someone, make fraudulent enquiries or send abusive, threatening or discriminatory material.
- Transmit malware, send spam, disrupt the website or deliberately overload its systems.
- Attempt unauthorised access, bypass access restrictions or collect other users’ personal information without a lawful basis.
- Use automated extraction in a way that bypasses restrictions, infringes protected rights or materially disrupts the service.
If account or system access is provided, keep credentials confidential and tell us promptly about suspected misuse. Report a security concern privately at john@enemaoj.com; do not access or disclose information beyond what you are authorised to handle.
11Confidentiality and personal information
Each party must protect non-public business information received from the other in connection with an engagement and use it only for that engagement. This duty does not cover information that is lawfully public, already known without a confidentiality duty, independently developed or lawfully obtained without restriction.
Where disclosure is legally compelled, it must be limited to what the law requires. The receiving party should notify the other where legally permitted. Agreed confidentiality obligations continue after the engagement ends for as long as the information remains confidential.
Our Privacy Policy explains our handling of personal information and how to exercise privacy rights. We do not sell personal information or share the personal information we hold with external bodies for marketing, targeted advertising or independent use. External websites and embedded services may collect information directly under their own policies.
Do not submit another person’s sensitive or confidential information through a general enquiry form without authority. Where we handle personal information on a client’s instructions, the agreed data-handling requirements also apply. Acceptance of these terms is not blanket consent to optional marketing or tracking.
12External links and website availability
The website may link to external websites or contain embedded content, including videos. Those services are governed by their own terms and privacy notices. A link does not necessarily imply endorsement. We are not responsible for an independent provider’s content or conduct, except where applicable law makes us responsible.
We aim to keep the website useful and available, but maintenance, faults or events outside our reasonable control may interrupt access. Website information may be updated, corrected or withdrawn. Corrections do not retrospectively change an accepted service agreement without a lawful basis or your agreement.
We will take reasonable steps to minimise disruption to services we have contracted to provide. A website outage does not by itself cancel your existing engagement or remove our obligations under it.
13Responsibility and limitations
Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any duty, remedy or liability that cannot lawfully be excluded or limited. Your mandatory consumer and data-protection rights remain unaffected.
Subject to those protections, we are not responsible for losses caused solely by your unlawful use, unauthorised alterations, materially inaccurate information you supply or events outside our reasonable control that we could not reasonably prevent. We remain responsible for our own conduct to the extent required by law.
For business users, to the extent permitted by law, neither party is liable under these website terms for indirect or consequential loss that was not reasonably foreseeable when the relevant obligation arose. This does not automatically exclude direct losses merely because they involve revenue, profit or data.
Any engagement-specific financial limit of liability must be set out in the accepted service agreement and comply with applicable law. These website terms do not impose an undisclosed monetary cap on a paid engagement or require you to indemnify us for our own wrongdoing.
14Suspension, termination and disruption
We may restrict website access where reasonably necessary to address a security threat, unlawful use or a material breach of these terms. Where practicable, we will explain the issue and provide an opportunity to resolve it. Urgent protective action may be taken without advance notice.
Either party may end a service agreement for a material breach that is not remedied within a reasonable period after written notice describing the breach and the action required. An engagement may also end by agreement or under its expressly agreed termination provisions.
If circumstances beyond either party’s reasonable control prevent performance, the affected party must notify the other and take reasonable steps to reduce the impact. The parties will discuss rescheduling, alternative delivery or ending the affected work if continuation is no longer practical. Payment for undelivered work is handled under the cancellation and refund provisions.
On termination, each party must stop using access that is no longer authorised and cooperate with an orderly handover. Accrued payment obligations, applicable licences, confidentiality duties and provisions necessary to resolve outstanding matters continue as appropriate.
15Governing law and resolving concerns
These terms are governed by Nigerian law. Please send complaints or disputes to john@enemaoj.com, with a description of the issue and the outcome you seek. We will consider the concern in good faith and seek a practical resolution.
The parties may agree to mediation or another suitable process after a dispute arises. These terms do not require compulsory arbitration or prevent urgent court relief.
Subject to mandatory jurisdiction rules, disputes may be brought before a court of competent jurisdiction in Nigeria, including an appropriate court in Akwa Ibom State. This does not remove any mandatory right to bring proceedings elsewhere or complain to a regulator. Consumers may contact the Federal Competition and Consumer Protection Commission; privacy complaints may be directed to the Nigeria Data Protection Commission.
16Changes, general provisions and contact
We may update these terms to reflect changes in the website, services or applicable law. The updated date identifies the current version. Material changes will be brought to your attention where required. Changes apply prospectively and do not automatically alter an existing paid engagement.
If a provision is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a right does not waive it. Nothing here creates a partnership, employment relationship or authority for either party to bind the other outside an agreed engagement.
For questions, service concerns or requests relating to these terms, use our contact form, email john@enemaoj.com, or call +2348105580698. You can write to Onojah John Consulting Ltd., No. 1 Ikot Ndem Road, Uyo, Nigeria.
